BUYER SIDE COMMISSIONS CLOSED - NO EXCEPTIONS
1. VOLUME OF TRANSACTION.
Japanese Yen (JPY) in the amount of JPY 500 Trillion.
2. EXCHANGE RATE.
Exchange rate is agreed as the official interbank exchange rate as of the date of exchange. The day when the USD funds are deposited for the transaction is considered as Exchange date. The discount shall be Gross 12 % and Net 8 % to the benefit of the USD Provider.
3. CONSULTANCY FEE.
2.0% to Seller's Side and 2.0% to Buyer's Side, payable by the USD Provider(Buyer)
4. TIME OF DELIVERY
The First tranche will be amount to JPY 5.5 Billion and the Second (Final) tranche will be agreed amounts in tranches to JPY.
5. PROCEDURES
5.1. The USD Provider completes his part of the draft contract and the associated MFPA, including banking details, signs and seals both the contract/PFCEA and sends it to the JPY Provider, subject to right to reject any changes made by Seller within 48 hours after receiving the contract signed by the Seller.
5.2. The JPY Provider completes his part of the draft contract/PFCEA and the associated MFPA including banking details, amends it, if necessary, signs it and sends it back to the USD Provider.
5.3. Both parties instruct their respective banks accordingly.
5.4a. The JPY Provider's Bank issues pre-advice SWIFT MT-103 of availability of JPY for the tranche and the USD Provider's Bank will reply with a pre-advice SWIFT MT-103 that they are ready to receive the tranche, unconditional SWIFT against Conditional SWIFT MT-103 from the JPY Provider.
5.4b. The JPY Provider's bank officer contacts the USD Provider's bank officer to set up immediate window time for the first tranche.
